1. Agreement to Terms

These Terms of Service (the "Terms") are a legally binding agreement between you and UQUA ("we," "us," or "our") governing your use of our website and services. By accessing or using our website, you agree to be bound by these Terms. If you do not agree to all of the terms and conditions of this agreement, then you may not access or use the website.

2. Products & Pricing

All prices listed on this website are informational only and are subject to change without notice. Product pricing and delivery terms are confirmed in your written quotation and order agreement.

Freight, insurance, customs duties, taxes, and local installation costs and responsibilities are specified in the written quotation and order agreement. For final pricing, please submit a quote request and our sales team will provide a formal quotation.

3. Quote Requests

Quote requests submitted through our website are non-binding inquiries. A formal quote will be sent upon review by our sales team. UQUA reserves the right to refuse or modify any quote request. All formal quotations are valid for 30 days from the date of issuance unless otherwise specified.

4. Orders & Payment

All orders placed through this website or via email are subject to acceptance by UQUA. Payment terms will be specified in your formal quotation. We accept payment by wire transfer, credit card, and other methods as may be specified. UQUA reserves the right to require a deposit before beginning production or shipment.

5. Shipping & Delivery

Shipping arrangements and the transfer of risk are specified in the order agreement. Estimated delivery times are provided for reference only and are not guaranteed. UQUA is not responsible for delays due to customs clearance, carrier issues, or other factors outside our control.

6. Returns & Refunds

Because our products are custom-configured and manufactured to order, all sales are final once production has begun. If a product arrives damaged or defective, please contact us within 7 days of delivery and we will arrange for repair or replacement at our discretion. For more details, please see our Warranty section below.

7. Limited Warranty

UQUA warrants that products will be free from defects in materials and workmanship under normal use for a period of two (2) years from the date of delivery. This warranty does not cover damage caused by misuse, neglect, improper installation, unauthorized modification, normal wear and tear, or failure to follow maintenance instructions.

The sole and exclusive remedy for any breach of this limited warranty shall be, at UQUA's option, repair or replacement of the defective product. This limited warranty gives you specific legal rights, and you may also have other rights which vary from state to state.

8. Disclaimer of Warranties

EXCEPT FOR THE LIMITED WARRANTY SET FORTH ABOVE, UQUA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PRODUCTS AND SERVICES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

9. Limitation of Liability

IN NO EVENT SHALL UQUA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

UQUA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE PRODUCTS GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

All content on this website, including text, graphics, logos, images, and software, is the property of UQUA or its licensors and is protected by copyright, trademark, and other intellectual property laws.
